Step 1: Brief

We also explain our divestment process to you. We ensure you are 100% comfortable with our approach and the steps we take to maximise the sale price of your business.

Step 2: Collate

We ask you to collate relevant business and financial documentation.

As soon as you decide to move forward, we ask you to start collating relevant information and documentation about your business to support the sale process.

We aim to be fully informed from the outset to ensure we can go to market and secure a buyer as quickly as possible – without any unexpected hurdles along the way.

Step 3: Prepare

We help you prepare your business for sale to maximise desirability.

To prepare your business for sale, ABBA group will perform a ‘sale audit’ to assess its current desirability. We may then recommend some small changes to strengthen buyer interest and business value.

When we are comfortable that your business is in the best possible shape for sale, we prepare your sales documents – including a compelling Information Memorandum to attract a maximum number of buyers.

Step 4: Market

We implement a targeted marketing strategy to promote your business.

Next, ABBA Group will design and implement a marketing plan to put your business in front of the right audiences.

Because we’re well networked with a strong buyer database, we will always approach our direct contacts first. Our database features many high net worth individuals and overseas nationals seeking businesses in Australia.

We also use targeted marketing and advertising forums to promote your business opportunity to qualified parties.

Step 5: Qualify

We qualify interested buyers.

Once we have a shortlist of interested buyers, we determine the strategic fit of each. We assess their expertise, their goals, their motivation for acquisition and their financial capacity.

From there, we only progress with buyers who are in a position to purchase your business and give it the best chance of continued success. We also seek indicative offers from interested parties before proceeding to the next step.

Step 6: Negotiate

We negotiate price and contract terms on your behalf.

With ABBA Group, you will have a team of skilled and experienced negotiators by your side.

We represent you in all aspects of the sale – including sale price, contract terms, special conditions, management of freehold and lease terms. We stay open and transparent with you and have your best interests at heart at all times.

Step 7: Due diligence

We support you through due diligence to ensure a smooth and efficient process.

When we negotiate a price for your business, we do so on the basis that due diligence is undertaken as a confirmation process. This precludes purchasers from using due diligence as a discovery tool for subsequent negotiation tactics.

As prospective buyers undertake their due diligence, ABBA Group will act on your behalf to ensure the process is as efficient as possible.

We coordinate relevant stakeholders (such as accountants and lawyers) and maintain close contact with all other prospective buyers to keep the landscape competitive.

Step 8: Settlement

We work with both parties and legal teams to finalise the transaction.

Finally, ABBA Group will facilitate and manage the formal exchange plan for you.

We work closely with you, the buyer and the legal team to finalise the contract and settlement. After contracts are exchanged, we develop a transition strategy for your divestment.
